Terms of Use — Huayuesc

2. Account Registration & Verification

Account registration requires accurate information: full name, email, mobile phone number (OTP verified), company + tax code (for businesses), delivery address in Vietnam. Each individual may only create up to 1 Buyer account; businesses may have 1 master account + up to 10 sub-accounts for employees. Huayue performs KYC (Know Your Customer) for every transaction ≥$10,000 USD under Vietnam's Anti-Money Laundering Law — Buyer must provide business license + legal representative's ID card. You are responsible for password security; do not share your account — Huayue is not liable for damages caused by your disclosure of login credentials. Enabling 2FA at /buyer-center/settings/security is recommended. Huayue reserves the right to temporarily suspend or terminate accounts (following the procedure in Section 13) for: fraudulent information, spam behavior, copyright infringement, abuse of Transaction Guarantee, violation of these terms, or upon lawful request from competent authorities.

3. Buyer Rights & Obligations

Buyer Rights:

• i.

  Free full access to the platform — NO membership fees, transaction fees or commissions.

  • ii.
    Send unlimited RFQs to verified Suppliers.
  • iii.
    Use the Transaction Assurance service free for all orders ≥$100.
  • iv.
    Request free on-site factory audit for orders ≥$5,000 USD (performed by Huayue team in Guangzhou).
• v.
  Vietnamese Customer Success support via hotline and email mcy@huayuesc.com. (vi) Right to complain within 7 days from receipt of goods. (vii) Right to access, correct, delete personal data under Decree 13/2023. Buyer Obligations:
• a.
  Provide accurate information when registering and transacting.
• b.
  Comply with Vietnamese law (especially: ban on importing counterfeit goods, prohibited goods, goods infringing IP registered in Vietnam).
• c.
  Make full, timely payment according to signed PI/PO.
• d.
  Respond to shipment confirmation requests within 14 days from delivery (after which system auto-releases).
• e.
  NOT use the platform for illegal activities (money laundering, tax evasion, trade fraud).

4. Supplier Rights & Obligations

Supplier Rights:

• i.

  Display products and receive RFQs from Vietnamese Buyers in Huayue's 3 focus industries (building materials, decoration materials, kitchen and bathroom electrical appliances).

  • ii.
    Enjoy competitive commission rates (5% for standard orders, 3% for strategic partners).
  • iii.
    Right to pre-screen Buyers — reject orders not matching production capacity.
  • iv.
    Marketing support in Vietnam (Vietnamese landing page, catalog translation, participation in product introduction conferences).
• v.
  Field audit reports with marketing value for buyers. Supplier Obligations:
• a.
  Pass the field audit process by Huayue's Guangzhou team before going live.
• b.
  Update pricing, MOQ, and delivery time accurately.
• c.
  Respond to RFQs within 24 hours.
• d.
  Manufacture and deliver according to signed PO, without changing specs without notice.
• e.
  Cooperate with Huayue's QC inspector before shipment.
• f.
  Do not bypass the platform (prohibited from contacting Buyers outside Huayue for direct transactions — violation results in permanent termination of partnership + penalty of 5% of order value).

5. Transactions, Payment & Transaction Guarantee

Every transaction ≥$100 USD on Huayue is protected by Transaction Guarantee — this is the platform's core differentiator. Mechanism:

• 1.
  Buyer pays T/T 30% deposit + 70% balance into Huayue's trust account at partner banks in Vietnam and China.
• 2.
  Funds are NOT released to Supplier until: Buyer confirms goods match description via dashboard, OR 14 days from delivery without Buyer response (auto-release), OR dispute resolved under Section 7.
• 3.
  Service fee: Huayue charges 5% commission from Supplier (NOT from Buyer).
• 4.
  Supported payment methods: T/T (telegraphic transfer), Letter of Credit (L/C — for orders ≥$100K), International Online Banking via fintech partner (for small orders <$5K).
• 5.
  Exchange rate: based on real-time interbank reference rate, with 0.5% buffer against volatility.
• 6.
  Bank fees: Buyer pays outgoing transfer fees (~0.1-0.3%), Supplier pays incoming receipt fees.

6. Shipping, Customs & Taxes

Goods transportation complies with Incoterms 2020 (FOB / CIF / DDP) — details at /info/shipping-policy. Customs: Huayue's customs clearance team based at Hai Phong port declares on behalf of the enterprise (under Buyer's authorization), directly integrated with Vietnam Customs e-customs system (VNACCS/VCIS). Import duties: calculated based on correct HS code and MFN tariff schedule of the Ministry of Finance (goods from China benefit from ACFTA, RCEP preferences — reduction of 0-10%). VAT: 10% on CIF value + import duty. Special consumption tax: not applicable to Huayue's 3 business sectors (building materials, interior decoration, kitchen and bathroom electrical appliances). Customs clearance fee: $80-150/lot, included in DDP. Buyer responsibilities: provide accurate HS code information, ensure goods are not on the prohibited import list (Appendix of Decree 69/2018/NĐ-CP), pay additional amounts if customs re-classifies HS code resulting in higher duties (Huayue notifies in advance, Buyer has 7 days to respond).

7. Refunds, Returns & Compensation

Transaction Assurance — Refund Policy: Buyer has the right to request a refund/exchange/compensation if goods do not meet commitments. Process: (Step 1) Submit complaint via dashboard or mcy@huayuesc.com WITHIN 7 DAYS from receipt of goods, with evidence (photos, videos, acceptance minutes). (Step 2) Huayue's Transaction Assurance team reviews within 24 hours, contacts Buyer + Supplier for verification; Guangzhou team may visit factory to check if needed. (Step 3) Decision within 3-7 business days with 4 options:

• a.
  100% refund from escrow account — if goods seriously misdescribed (wrong SKU, wrong type).
• b.
  Free exchange — Supplier re-manufactures + free DDP to Vietnam, new delivery time committed.
• c.
  Negotiated compensation — discount X% if minor defect and Buyer agrees to keep goods.
• d.
  Future order discount support — Buyer uses credit for next time. If dispute cannot be resolved within 21 days → escalate to VIAC arbitration under Section 12.

8. Intellectual Property & Prohibited Acts

All content created by Huayue (interface, code, brand identity, documents, original images, videos, blog posts) is copyrighted by HUAYUE SUPPLY CHAIN VIET NAM COMPANY LIMITED. Users are permitted to view and print for personal/internal business purposes; NOT allowed to copy, distribute, modify, or reverse-engineer without written consent. Product images uploaded by Supplier are copyrighted by Supplier — Buyer may only use them for reselling that Supplier's product (not for other products). The 'Huayuesc' logo is in the process of trademark registration at the Intellectual Property Office of Vietnam. Prohibited actions: platform scraping (rate limit + WAF), mass fake account creation, indiscriminate RFQ spam, posting IP-infringing/pornographic/violent content, defrauding other Buyers, threatening/harassing Huayue employees. Violations will be handled under Vietnam's Intellectual Property Law and the Penal Code as necessary.

9. Privacy, Cookies & Personal Data

Huayue collects and processes personal data according to the detailed Privacy Policy at /info/privacy-policy — complying with Decree 13/2023/ND-CP, PIPL 2021 and GDPR where applicable. Users have 11 basic rights (view, edit, delete, restrict processing, portability, etc.) — send requests to mcy@huayuesc.com. Cross-border data transfer VN–CN between Hanoi headquarters and Guangzhou representative office is protected via Standard Contractual Clauses (SCCs); Huayue is in the process of completing cross-border data transfer registration with the Authority of Information Security under Article 25 Decree 13/2023. Cookies: 4 groups (essential / analytics / marketing / partner), consent banner with 3 choices. Huayue does NOT sell data to data brokers. Retain transaction records for 10 years per Vietnam Tax Administration Law. When Buyer closes account: hard-delete within 30 days + provide Certificate of Erasure upon request.

10. Liability & Legal Disclaimers

Huayue's liability is limited to providing the platform and supply chain services under these terms. Huayue commits to uptime ≥99.5% (measured on huayuesc-status.io) but does NOT guarantee 100% continuity — disruptions due to scheduled maintenance will be notified 48 hours in advance. Huayue provides Supplier information based on actual factory audits but does NOT provide absolute guarantee — Buyer is responsible for additional due diligence when necessary (especially for orders ≥$50K). Huayue's maximum liability for each transaction is limited to: (a) The transaction value, or (b) $10,000 USD, whichever is lower. Huayue is NOT liable for indirect damages such as: loss of expected revenue, brand reputation damage, loss of end customers, opportunity costs, interest incurred due to delay. In case of Huayue's intentional violation (gross negligence/willful misconduct), this limitation does not apply per Article 442 of the Vietnamese Civil Code.

11. Force Majeure

Force Majeure: Huayue, Buyer and Supplier are exempt from liability if unable to perform obligations due to events beyond reasonable control, including but not limited to:

• i.
  Natural disasters (earthquake, flood, storm, fire).
• ii.
  War, terrorism, riot, public strike.
• iii.
  National infrastructure incidents (international internet cable break, large-scale power outage, closure of Huu Nghi / Mong Cai border gates / Hai Phong port).
• iv.
  Large-scale pandemic (COVID-style lockdown).
• v.
  Decisions/orders of state authorities (embargo, sudden tax policy change, temporary suspension of manufacturing industry).
• vi.
  Nation-scale cyberattack incident. The party affected by force majeure must notify the other party within 5 days from the event occurrence. If the event lasts >60 days, the parties have the right to negotiate contract cancellation + deposit refund proportionate to work completed.

12. Disputes, Arbitration & Governing Law

Three-level dispute resolution: (Level 1 — Mediation at Huayue) Huayue's Dispute Resolution team mediates Buyer + Supplier negotiation within 7 working days; Guangzhou team supports factory verification if needed. Free of charge. (Level 2 — VIAC Arbitration) If no agreement is reached, the case is transferred to the Vietnam International Arbitration Centre (VIAC) in Hanoi under current VIAC Rules. Language: Vietnamese (default) or English (by agreement). Number of arbitrators: 1 (for disputes <$50K), 3 (for ≥$50K). Arbitration fees according to VIAC fee schedule (~3-5% of dispute value), allocated per ruling. VIAC decision is FINAL and BINDING, enforceable in Vietnam and China under the 1958 New York Convention. (Level 3 — Court) Disputes between Users and Huayue (not related to transactions) are subject to Vietnamese law, competent court is the People's Court of Hanoi City. Huayue does NOT accept class-action lawsuits — each dispute is resolved individually.

13. Termination & Account Closure

Account termination:

• a.
  User voluntarily closes — anytime via /buyer-center/settings, completed within 7 working days, data retained for 90 days to process pending transactions then hard-deleted.
• b.
  Huayue terminates due to user violation — written notice via email 7 days before enforcement, except in urgent cases (fraud, cyberattack). User has 7 days to respond or appeal.
• c.
  Huayue terminates due to legal violation — immediate enforcement, no prior notice; Huayue may cooperate with investigating authorities. After termination: account deactivated, cannot log in; pending transactions still completed per escrow account status; Buyer's deposit refunded per Section 7; Supplier's commission settled per PO signed before termination.

14. Amendments & Notices

Huayue has the right to amend these terms to comply with laws, technology and business practices. Process:

• i.
  Drafting + internal review + legal counsel approval.
• ii.
  Notify users 30 DAYS before effective date via: email to all active accounts, banner on website + app, mobile app push notification.
• iii.
  User continues using platform after effective date = acceptance of new terms. Users who disagree have the right to close accounts before effective date — no fees charged, data completely deleted per Section 13.
• iv.
  Previous versions archived at /info/terms-of-service/lich-su for reference.
• v.
  In case of material changes affecting rights (e.g., commission rate increase, liability cap change), Huayue requires explicit re-consent — not automatically applied.
